4.0 ORDERING
4.1 General Order Policies
A. Bonus buying is strictly and absolutely prohibited. Bonus buying includes: (a) the enrollment of individuals or entities without the knowledge of and/or execution of an Agreement by such individuals or entities; (b) the fraudulent enrollment of an individual or entity as a Boutique Partner or Customer; (c) the enrollment or attempted enrollment of non-existent individuals or entities as Boutique Partner or Customers (“phantoms”); (d) purchasing Style Dots products or services on behalf of another Boutique Partner or Customer, or under another Boutique Partner’s or Customer’s ID number, to qualify for commissions or bonuses; (e) purchasing excessive amounts of goods or services that cannot reasonably be used or resold in a month; and/or (f) any other mechanism or artifice to qualify for rank advancement, incentives, prizes, commissions, or bonuses that is not driven by bona fide product or service purchases by end user consumers.
B. If an order is found to be fraudulent, Style Dots, LLC will delete the order and the Boutique Partner must re-order in compliance with Policies & Procedures.
C. A Boutique Partner shall not use another Boutique Partner’s or customer’s credit card or debit checking account to enroll in Style Dots or purchase products or services without the account holder’s written permission. Such signed and dated documentation must be kept by the Boutique Partner indefinitely in case Style Dots needs to reference this.
D. Regarding an order with an invalid or incorrect payment, Style Dots will attempt to contact the Boutique Partner by phone, mail or email in order to obtain another form of payment. If these attempts are unsuccessful after 10 business days, the order will be canceled.
E. Prices are subject to change without notice.
F. A Boutique Partner or Customer who is a recipient of a damaged or an incorrect order must notify Style Dots within 30 calendar days from receipt of the order and follow the procedures as set forth in these Policies.
4.2 Sales Tax Obligation
A. The Boutique Partner shall comply with all state and local taxes and regulations governing the sale of Style Dots products and services.
B. Style Dots will collect and remit sales tax on Boutique Partner orders. When orders are placed with Style Dots, sales tax is prepaid based upon the suggested retail price. Style Dots will remit the sales tax to the appropriate state and local jurisdictions. The Boutique Partner may recover the sales tax when he or she makes a sale. Style Dots Boutique Partners are responsible for any additional sales taxes due on products marked up and sold at a higher price. From time to time, a Boutique Partner may purchase a product at full retail price and that price will be used to collect full retails sales tax by Style Dots. If in the future Style Dots or the purchasing Boutique Partner sells that product at a discount, Style Dots is not responsible for any credit difference in sales tax as Style Dots is charged sales tax at the price when originally purchased. In this case, the product was sold to the Boutique Partner as the end consumer.
5.0 PAYMENT OF COMMISSIONS & BONUSES
5.1 Bonus and Commission Qualifications
A. A Boutique Partner must be active ($300 monthly personal volume) and in compliance with Style Dots Policies and Procedures to qualify for bonuses and commissions. So long as a Boutique Partner complies with the terms of the agreement, Style Dots shall pay commissions to such Boutique Partner in accordance with the Compensation Plan.
B. Style Dots will not issue a payment to a Boutique Partner without the receipt of a completed and signed Style Dots Boutique Partner Agreement and 1099 Form.
C. Style Dots reserves the right to postpone commission payments until such time the cumulative amount exceeds $25.
5.2 Computation of Commissions and Discrepancies
A. In order to qualify to receive commissions and bonuses, a Boutique Partner must be in good standing and comply with the terms of the Agreement and these Policies and Procedures. Commissions, overrides, and achievement levels are calculated each month.
B. A Style Dots Boutique Partner must review his or her monthly statement and bonus reports promptly and report any discrepancies within 30 days of receipt. After the 30-day “grace period” no additional requests will be considered for commission recalculations.
C. For additional information on payment of commissions, please review the Compensation Plan.
6.0 REFUND POLICY AND RETURN OF BOUTIQUE SHOWCASE / SALES AIDES
Style Dots offers a one hundred percent (100%) thirty-day money back guarantee for all customers and Boutique Partners. If a customer purchased a product and is not satisfied with the product, the customer may request a refund from their Boutique Partner. All returns need to be in new, unopened and unused condition and can be resold as new. If you are not 100% satisfied with our products or are unable to sell them, you may return the items for a refund if neither you nor we have terminated the Agreement and the products were purchased within thirty days and remain in resalable, unused condition. This refund policy does not include items that are clearly marked as non-refundable at the point of sale. Non-refundable items would include seasonal items, clearance sales or any other promotion where the refund exception is clearly stated at the point of sale. The refund shall be 90% of the purchase price. Shipping and handling charges incurred will not be refunded.
Upon cancellation of the Agreement, the Boutique Partner may return their boutique showcase and any sales aids purchased within (30) days from the date of cancellation for a refund if he or she is unable to sell or use the merchandise. Boutique Partners may only return sales aids and Boutique Showcases that remain in resalable, unused condition. Upon receipt of the items, the Boutique Partner will be reimbursed ninety percent (90%) of the net cost of the original Showcase purchase price(s), less shipping charges.
6.1 Return Process
A. All customer returns must be made through their Boutique Partner as follows. To make a returns claim, email returns@styledotshome.com with ALL of the following details.
I. Boutique Partner’s name, address and phone number
II. Order number
III. Product SKU, Product Name and quantity of each
IV. Description of defect, including photos of defect and entire product
B. If requested, all returns must be shipped to Style Dots pre-paid using the least expensive option that includes tracking, as Style Dots does not accept shipping collect packages. Style Dots recommends shipping returned product by USPS, UPS or FedEx with tracking, as risk of loss in shipping the returned product shall be borne solely by the Boutique Partner. If returned product is not received at Style Dots Distribution Center, it is the responsibility of the Boutique Partner to trace the shipment and no credit will be applied. 7.0 ADVERTISING, PROMOTIONAL MATERIAL, USE OF COMPANY NAMES AND TRADEMARKS
7.1 Labeling, Packaging, and Displaying Products
A. A Style Dots Boutique Partner may not re-label, re-package, or alter labels of any Style Dots product, or service, information, materials or programs in any way. Style Dots products and services must only be sold in the original packaging from Style Dots. Such re-labeling or re-packaging violates Federal and state laws, which may result in criminal or civil penalties or liability.
B. Style Dots reserves the right to refuse authorization to participate at any function that it does not deem a suitable forum for the promotion of its products and services, or the Style Dots opportunity.
7.2 Use of Company Names and Protected Materials
A. A Style Dots Boutique Partner must safeguard and promote the good reputation of Style Dots and the products and services it markets. The marketing and promotion of Style Dots, the Style Dots opportunity, the Compensation Plan, and Style Dots products and services will be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct and practices.
B. All promotional materials supplied or created by Style Dots must be used in their original form and cannot be changed, amended or altered except with prior written approval from the Style Dots Compliance Department.
C. The name of Style Dots, each of its product names and other names that have been adopted by Style Dots in connection with its business are proprietary trade names, trademarks and service marks of Style Dots. As such, these marks are of great value to Style Dots and are supplied to Boutique Partner for their use only in an expressly authorized manner.
D. A Style Dots Boutique Partner’s use of the name Style Dots is restricted to protect Style Dots proprietary rights, ensuring that the Style Dots protected names will not be lost or compromised by unauthorized use. Use of the Style Dots name on any item not produced by Style Dots is prohibited except as follows:
I. [Boutique Partner Name] Independent Style Dots Boutique Partner
E. Style Dots reserves the right to rescind its prior approval of any sales aid or promotional material to comply with changing laws and regulations and may request the removal from the marketplace of such materials without financial obligation to the affected Boutique Partner.
F. A Boutique Partner shall not promote non-Style Dots products or services in conjunction with Style Dots products or services in the same websites, Facebook pages/groups or same advertisement without prior approval from Style Dots Compliance.
7.3 Internet Policies
A. When using the Internet to promote your Style Dots business, Boutique Partners must always use their names and distinguish themselves as an Independent Boutique Partner. Boutique Partners must never represent themselves on behalf of Style Dots nor shall they ever represent any of our contracted artisans.
In addition to the Style Dots provided personal website (PWS), Boutique Partners are permitted to advertise Style Dots goods online through a Style Dots approved blog.
B. All social media advertising that is not currently offered by Style Dots must be approved before use.
7.4 Advertising and Promotional Materials
A. Boutique Partners may not advertise any Style Dots products at a price LESS than the current company published, established retail price of ONE offering of the Style Dots product plus shipping and applicable taxes. No public special enticement advertising is allowed. This includes but is not limited to offers of free membership, free shipping, or other such offers that grant advantages beyond those available through the Style Dots.
7.5 Testimonial Permission
A. By signing the Style Dots Boutique Partner Agreement, a Boutique Partner gives Style Dots permission to use his or her testimonial or image and likeness in corporate sales materials, including but not limited to print media, electronic media, audio and video. In consideration of being allowed to participate in the Style Dots Business Opportunity, a Boutique Partner waives any right to be compensated for the use of his or her testimonial or image and likeness even though Style Dots may be paid for items or sales materials containing such image and likeness. In some cases, a Boutique Partner’s testimonial may appear in another Boutique Partner’s advertising materials. If a Boutique Partner does not wish to participate in Style Dots sales and marketing materials, he or she should provide a written notice to the Style Dots Compliance Department to ensure that his or her testimonial or image and likeness will not be used in any corporate materials, corporate recognition pieces, advertising or recordings of annual events.
8.0 INTERNATIONAL MARKETING
8.1 International Marketing Policy
A. A Style Dots Boutique Partner is authorized to sell Style Dots products to customers in the United States and Puerto Rico. Style Dots Boutique Partner may NOT sell products or services in any country where Style Dots products and services have not received applicable government authorization or approval.
B. A Boutique Partner may not, in any unauthorized country, conduct sales, enrollment or training meetings, enroll or attempt to enroll potential Customers, or Boutique Partner, nor conduct any other activity for the purpose of selling Style Dots products and services, establishing a sales organization, or promoting the Style Dots business opportunity.
9.0 CHANGES TO A BOUTIQUE PARTNER BUSINESS
9.1 Change Mentor or Placement for Active Boutique Partner
A. Maintaining the integrity of the organizational structure is mandatory for the success of Style Dots and our Independent Boutique Partners.
B. Style Dots retains the right to approve or deny any requests to change Mentor or Placement and to correct any errors related thereto at any time and in whatever manner it deems necessary.
9.2 Change Organizations
A. If a Style Dots Boutique Partner wishes to transfer organizations, he or she must submit a letter of resignation to the Style Dots Customer Service Department (info@styledotshome.com) and remain inactive (place no orders as a Boutique Partner) from Style Dots for 6 months from the receipt of the letter before being eligible to re-enroll under a different Mentor/Placement.
B. Style Dots retains the right to approve or deny any request to re-enroll after a Boutique Partner’s resignation.
C. If re-enrollment is approved, the former Boutique Partner will be issued a new Style Dots User ID and will be required to submit a new Boutique Partner agreement. The Boutique Partner will not be entitled to keep any former rank, down line, or rights to commission checks from any prior organization.
9.3 Sell, Assign or Delegate Ownership
A. In order to preserve the integrity of the hierarchical structure, it is necessary for Style Dots to place restrictions on the transfer, assignment, or sale of a position. A Style Dots Boutique Partner may not sell or assign his or her rights or delegate his or her position as a Boutique Partner.
9.4 Separating a Style Dots Business
A. Pending a divorce or dissolution of a partnership or other business entity, the parties must adopt one of the following methods of operation:
I. One of the parties may, with the written consent of the other(s), operate the Style Dots business whereby the relinquishing spouse, shareholders, partners, members or trustees authorize Style Dots to deal directly and solely with the other spouse, non-relinquishing shareholder, partner, member or trustee.
II. The parties may continue to operate the Style Dots business jointly on a “business as usual” basis, whereupon all compensation paid by Style Dots will be paid in the name designated by the Boutique Partners or in the name of the entity to be divided, as the parties may independently agree between them. If no name is stipulated, Style Dots will pay compensation to the name on record and in such event, the Boutique Partner named on the account shall indemnify Style Dots from any claims from the other business owner or the other Spouse with respect to such payment.
III. Style Dots businesses must be operated by the Boutique Partner on file. The Boutique Partner’s Style Dots business must not be operated by anyone who has not completed and signed the Boutique Partner Agreement and financial documents.
B. Style Dots recognizes only one down line organization and will issue only one commission check per Style Dots business per commission cycle. Under no circumstances will the down line of an organization be divided, nor will Style Dots split commission and bonus checks.
C. If a relinquishing spouse, partner or owner of the business has completely relinquished (“Relinquishing Party”), in writing, all rights to the original Style Dots business, he or she may immediately thereafter re-enroll under the Mentor and Placement of his or her choice. In such cases, however, the Relinquishing Party shall have no rights to, and shall not solicit, any Boutique Partner or active Customer in the former organization and must develop a new business in the same manner as any other new Style Dots boutique partner. A Boutique Partner in the Relinquishing Party’s former down line, who wishes to transfer to the Relinquishing Party’s new organization or to any other organization, must comply with the requirements in Section 9.2.
9.5 Resignation/Voluntary Termination
A. A Boutique Partner may immediately terminate his or her position by submitting a written notice or email to the Style Dots Compliance Department (info@styledotshome.com). Written notice must include the following:
I. The Boutique Partner’s intent to resign;
II. Date of resignation;
III. Style Dots User ID;
IV. Reason for resigning; and
V. Signature.
B. A Style Dots Boutique Partner may not use resignation as a way to immediately change Mentor and Placement. Instead, the Boutique Partner who has voluntarily resigned is not eligible to reapply for a position or have any financial interest in a Style Dots business for 6 months from the receipt of the written notice of resignation.
9.6 Involuntary Termination
A. Style Dots reserves the right to terminate a Boutique Partner’s position for, but not limited to, the following reasons;
I. Violation of any terms or conditions of the Boutique Partner agreement;
II. Violation of any provision in these Policies and Procedures;
III. Violation of any provision in the Compensation Plan;
IV. Violation of any applicable law, ordinance, or regulation regarding the Style Dots business;
V. Engaging in unethical business practices or violating standards of fair dealing.
VI. Not maintaining a good standing with Style Dots. i.e. non-payment of monthly PWS subscription.
B. Style Dots will notify the Boutique Partner in writing by trackable email; at his or her last known email address of its intent to terminate the Boutique Partner’s position and the reasons for termination. The Boutique Partner will have 10 calendar days from the date of emailing of such notice to respond in writing to the allegations or claims constituting cause for termination as stated in the notice. Style Dots will then have 30 calendar days from the date of receipt of the Boutique Partner’s response to render a final decision as to termination.
C. If a decision is made by Style Dots to terminate the Boutique Partner’s position, Style Dots will inform the Boutique Partner in writing through trackable email that the position is terminated effective as of the date of the written notification. The Boutique Partner will then have 10 calendar days from the date of mailing of such notice to appeal the termination in writing. Style Dots must receive the Boutique Partner’s written appeal within 10 calendar days of the date of the Style Dots termination letter. If the written appeal is not received within this time period, the termination will be considered final.
D. If the Boutique Partner does file a timely appeal of termination, Style Dots will review its decision, along with any other information it may deem relevant, reconsider any other appropriate action, and notify the Boutique Partner of its decision. The decision of Style Dots is then considered final and not subject to further review.
E. If the termination is not rescinded, the termination will be effective as of the date of the original termination notice by Style Dots. The former Boutique Partner shall thereafter be prohibited from using the names, marks or signs, labels, stationery, advertising, online groups and pages, or business material referring to or relating to any Style Dots products or services. Style Dots will notify the active up line Mentor within 10 days after termination. The organization of the terminated Boutique Partner will “roll up” to the upline Mentor on record.
F. The Style Dots Boutique Partner who is involuntarily terminated by Style Dots may not re-apply for a position, either under his or her present name or any other name or entity, without the express written consent of an officer of Style Dots, following a review by the Style Dots Compliance Committee. In any event, such Boutique Partner may not re-apply for a position for 6 months from the date of termination.
9.7 Effect of Cancellation
A. Following a Boutique Partner’s cancellation for inactivity or voluntary or involuntary termination (collectively, a “cancellation”) such Boutique Partner:
I. Shall have no right, title, claim or interest to any commission or bonus from the sales generated by the Boutique Partner’s former organization or any other payments in association with the Boutique Partner’s former independent position.
II. Effectively waives any and all claims to property rights or any interest in or to the Boutique Partner’s former down line organization.
III. Shall receive commissions and bonuses only for the last full pay period in which he or she was active prior to cancellation, less any amounts withheld during an investigation preceding an involuntary cancellation, and less any other amounts owed to Style Dots.
10.0 DISCIPLINARY SANCTIONS
10.1 Imposition of Disciplinary Action - Purpose
A. It is the spirit of Style Dots that integrity and fairness should pervade among its Boutique Partners, thereby providing everyone with an equal opportunity to build a successful business. Therefore, Style Dots reserves the right to impose disciplinary sanctions at any time, when it has determined that a Boutique Partner has violated the agreement or any of these Policies and Procedures or the Compensation Plan as they may be amended from time to time by Style Dots.
10.2 Consequences and Remedies of Breach
A. Disciplinary actions may include one or more of the following:
I. Monitoring a Boutique Partner’s conduct over a specified period of time to assure compliance;
II. Issuance of a written warning or requiring the Boutique Partner to take immediate corrective action;
III. Imposition of a fine (which may be imposed immediately or withheld from future commission checks) or the withholding of commission checks (a Commission Hold) until the matter causing the Commission Hold is resolved or until Style Dots receives adequate additional assurances from the Boutique Partner to ensure future compliance;
IV. Suspension from participation in Company or Boutique Partner events, rewards, or recognition;
V. Suspension of the Style Dots Boutique Partner agreement and position for one or more pay periods;
VI. Involuntary termination of the Boutique Partner’s agreement and position;
VII. Any other measure which Style Dots deems feasible and appropriate to justly resolve injuries caused by the Boutique Partner’s policy violation or contractual breach; OR
VIII. Legal proceedings for monetary or equitable relief.
11. DISPUTE RESOLUTION
11.1 Grievances
A. If a Style Dots Boutique Partner has a grievance or complaint against another Boutique Partner regarding any practice or conduct relating to their respective Style Dots businesses, he or she is encouraged to resolve the issue directly with the other party. If an agreement cannot be reached, it must be reported directly to the Style Dots Compliance Department at info@styledotshome.com.
B. The Style Dots Compliance Department will be the final authority on settling such grievance or complaint and its written decision shall be final and binding on the Boutique Partner involved.
C. Style Dots will confine its involvement to disputes regarding Style Dots business matters only. Style Dots will not decide issues that involve personality conflicts or unprofessional conduct by or between Boutique Partner outside the context of a Style Dots business. These issues go beyond the scope of Style Dots and may not be used to justify a Mentor or Placement change or a transfer to another Style Dots organization.
D. Style Dots does not consider, enforce, or mediate third party agreements between Boutique Partners, nor does it provide names, funding, or advice for obtaining outside legal counsel.
11.2 Arbitration
A. Any controversy or claim arising out of or relating to the Style Dots Boutique Partner agreement, these Policies and Procedures, or the breach thereof, the Boutique Partner’s business or any dispute between Style Dots and the Boutique Partner, shall be settled by binding and confidential arbitration administered by the American Arbitration Association under its commercial arbitration rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Any such arbitration shall be held in Carson City, NV. There shall be one arbitrator, who shall have expertise in business law transactions and who shall be knowledgeable in the direct selling industry, selected from a panel provided by the American Arbitration Association.
B. The prevailing party in any such arbitration shall be entitled to receive from the losing party, all costs and expenses of arbitration, including reasonable attorney’s fees and filing fees. The decision of the arbitrator shall be final and binding on the parties and may, if necessary, be reduced to judgment in any court of competent jurisdiction.
C. This agreement to arbitration shall survive any termination or expiration of the Boutique Partner agreement.
D. Nothing in these Policies and Procedures shall prevent Style Dots from applying for or obtaining from any court having jurisdiction a writ of attachment, a temporary injunction, preliminary injunction, permanent injunction, or other relief available to safeguard and protect Style Dots interests or its Confidential Information prior to, during or following the filing of an arbitration or other proceeding, or pending the rendition of a decision or award in connection with any arbitration or other proceeding.
E. These Policies and Procedures and any arbitration involving a Boutique Partner and Style Dots shall be governed by and construed in accordance with the laws of the state of Nevada, without reference to its principles of conflict of laws.
11.3 Severability
A. If any provision of these Policies and Procedures is found to be invalid, or unenforceable for any reason, only the invalid provision shall be severed. The remaining terms and provisions hereof shall remain in full force and shall be construed as if such invalid or unenforceable provision never had comprised a part of these Policies and Procedures.
11.4 Waiver
A. Only an officer of Style Dots can, in writing, affect a waiver of the Style Dots Policies and Procedures. Style Dots' waiver of any particular breach by a Boutique Partner shall not affect Style Dots’ rights with respect to any subsequent breach, nor shall it affect the rights or obligations of any other Boutique Partner.
B. The existence of any claim or cause of action of a boutique partner against Style Dots shall not constitute a defense to Style Dots' enforcement of any term or provision of these Policies and Procedures.
11.5 Successors and Claims
The agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
12.0 GOVERNING LAW
These Policies and Procedures shall be governed by and construed in accordance with the Laws of the State of Nevada and the exclusive jurisdiction of the United States courts.
13.0 ONLINE CONDUCT
13.1 Personal Websites (PWS) and Online Pages
A Boutique Partner’s personal website and online pages must be approved and will be regularly monitored to remain approved.
Personal Website URL cannot:
a) Cause confusion with other portions of the Style Dots corporate website;
b) Confuse a reasonable person into thinking they have landed on a Style Dots corporate page;
c) Be confused with any Style Dots owned or controlled name;
d) Contain any discourteous, misleading, or off-color words or phrases that may damage Style Dots’ reputation;
e) Use the term “Style Dots”, “Your Story is Our Story”, “Jewelry Dots”, “Fashion Dots”, “Home Dots”, “Story Dots”, “Dot Reveals”, “More” or “Dots” or any derivative of these terms (e.g., angelasellsStyleDots.StyleDotsHome.com); or
f) Use any geographic identifier in the URL (e.g., “CaliforniaBoutiquePartner” or “rockymountaindots”), including state abbreviations (e.g., “dotsofca”).
Style Dots reserves the right to reject a Boutique Partner’s choice of Personal Website URL names. Any External Website that links to a Boutique Partner’s Personal Website cannot advertise or otherwise promote products other than Style Dots products.
13.2 Team Websites
Boutique Partners shall not create Team websites unless under password and not available for public viewing.
13.3 Domain Names, Facebook Pages, Email Addresses and Online Aliases
Except as specifically otherwise allowed herein, you are not allowed to use or register “Style Dots”, “Your Story is Our Story”, “Jewelry Dots”, “Fashion Dots”, “Home Dots”, “Story Dots”, “Dot Reveals”, “More” or “Dots” or any of Style Dots’ trademarks, product names, slogans, tag-lines, or any derivatives of the foregoing, for any Internet domain name (URL or extension), social media page or group or Personal Email Address. Additionally, you cannot use or register Internet domain names, Personal Email Addresses, and/or online aliases that, in the sole discretion of Style Dots, could cause harm to Style Dot’s reputation, cause confusion, be misleading, be deceptive, or cause individuals to believe or assume the communication is from, or is the property of or authorized by Style Dots corporate. Examples of the improper use of “Style Dots” and or “Your Story is Our Story” or “Style Dots” or “Story Dots” include, but are not limited to, “Ms. Style Dots,” “Style Dots by Amy,” “JaneDots,” or “Story Dots” or Style Dots showing up as the sender of an email. Additionally, Style Dots will consider, on a case by case basis, allowing a Boutique Partner to change a Default URL for aesthetic/cosmetic purposes – such that the example provided above could become: www.facebook.com/jsmithindependentStyleDotsrepresentative, or www.facebook.com/jsmith-independent-StyleDots-representative. Boutique Partners must first obtain approval from Style Dots prior to renaming any Default URL. Boutique Partners must identify themselves as an Independent Style Dot Boutique Partner online and in social media.
13.4 Online Classifieds
You may not use online classifieds (including, but not limited to, Craigslist or Facebook Marketplace) to list, sell or retail Style Dots products.
13.5 eBay/Online Auctions
Boutique Partners may not list Style Dots’ products or accessories on eBay or other online auctions. Additionally, Boutique Partners may not (i) enlist or knowingly allow a third party to sell Style Dots products on eBay or other online auction or (ii) sell products to a third party that the Boutique Partner has reason to believe will sell such products on eBay or another online auction. Selling via online auctions will result in termination. Selling to a third party that the Boutique Partner has reason to believe will sell via online auctions will result in termination.
13.6 Online Retailing
Boutique Partners may not list or sell Style Dots products on any online retail store or ecommerce site (with the exception of your Personal Website and approved blog). Additionally, Boutique Partners may not (i) enlist or knowingly allow a third party to sell Style Dots products on any online retail store or ecommerce site or (ii) sell products to a third party that the Boutique Partner has reason to believe will sell such products on any online retail store or ecommerce site. Boutique Partners may obtain the then-current product images from the Style Dots Business Center.
13.7.1 Banner Advertising
Boutique Partners may place banner advertisements on their blog or page (as described herein below); provided, however, that they only use Style Dots-approved images from the Business Center, and do not list any pricing, discounts or promotions of any Style Dots product on such advertisements. Any Style Dots-related banner advertisements must link back directly to their Personal Style Dots Websites (PWS). If Boutique Partners place Style Dots-related banner advertisements on third-party websites, they must ensure that such banner advertisements link back to their Personal Websites. Boutique Partners may not use “blind ads” (i.e., ads that do not disclose the identity of the Company) or web pages that make product or income claims that are ultimately associated with Style Dots products or the Style Dots business.
13.7.2 Spam Linking
Spam linking is defined as multiple consecutive submissions of the same or similar content into blogs, wikis, guest books, websites or other publicly accessible online discussion boards or forums and is not allowed. This includes blog spamming, blog comment spamming and/or spamdexing. Any comments you make on blogs, forums, guest books, etc., must be unique, informative and relevant.
13.7.3 Digital Media Submission (e.g., YouTube, iTunes, PhotoBucket, etc.)
Boutique Partners may upload, submit or publish Style Dots-related video, audio or photo content to their blog/page that they develop and create so long as it aligns with Style Dots values, contributes positively to the Style Dots community greater good and reputation, as determined by Style Dots in Style Dots’ sole discretion, and does not include the term “Style Dots” in any domain name URL, and is otherwise also in compliance with Style Dots’ Statement of Policies & Procedures. All submissions must clearly identify the submitter as an Independent Boutique Partner in the content itself and in the content description tag, must comply with all copyright/legal requirements, and must state that the Boutique Partner is solely responsible for this content. Boutique Partners may not upload, submit or publish any content (video, audio, presentations or any computer files) received from Style Dots or captured at official Style Dots events or in buildings owned or operated by Style Dots without prior written permission, unless such material was obtained directly from the Resources Tab in their Business Center.
13.7.4 Sponsored Links/Pay-Per-Click (PPC) Ads/Paid Search
Sponsored links or pay-per-click ads (PPC) are not acceptable as described herein.
13.8 Social Media, Blogs and Fan Pages
Boutique Partners must provide accurate pricing on all Style Dots products, bundling, and showcase kits. Profiles that a Boutique Partner generates in any social community where Style Dots is discussed or mentioned must clearly identify the Boutique Partners as an “Independent Style Dots Boutique Partner,” and when Boutique Partners participate in those communities, Boutique Partners must avoid inappropriate conversations, comments, images, video, audio, applications or any other adult, profane, discriminatory or vulgar content. Determination of what is inappropriate is at Style Dots’ sole discretion, and offending Boutique Partners will be subject to disciplinary action. If a link is provided on your blog/page, it must link to the posting Boutique Partners Company-provided Personal Website (PWS).
Boutique Partners may not use blog spam, spamdexing or any other mass-replicated methods to leave blog comments. Comments Boutique Partners create or leave online must be useful, unique, relevant and specific to the blog’s article.
Banner advertisements used on a Boutique Partners blog/page must contain current Style Dots images from the Style Dots-approved library or must be otherwise approved by Style Dots. Boutique Partners may not post images of Style Dots products or accessories on any Social Media or other internet website, other than those images intended for such use and that are provided directly from Style Dots to the Boutique Partners through official Style Dots material or correspondence, including, but not limited to, Style Dots’ Facebook page, newsletters and emails sent directly to the Boutique Partners from Style Dots. Additionally, Boutique Partners must follow any specific directions given by Style Dots with respect to the publication or other use of such images. Product photos shared on the monthly TADA Recognition Webinar are not to be shared publicly.
Boutique Partners may only use Style Dots’ name as specifically authorized herein, including, but not limited to, the creation of the name/title of a Social Media website. For example, when creating a Style Dots related “Fan Page” on Facebook, Boutique Partners may only use the following structure when naming the Style Dots related “Fan Page”:
“[Insert Boutique Partner’s name here] Independent Style Dots Boutique Partner.”
For other Style Dots related Social Media websites that the Boutique Partner uses to promote or otherwise reference Style Dots’ name or products, Boutique Partners must inform Style Dots, via e-mail (info@styledotshome.com), of such Social Media page name/title and URL or Default URL with Style Dots at the time of or prior to such page’s creation. As a general rule, Boutique Partners may not use any geographic references in the page names/titles or URLs of their Style Dots-related Social Media or External Websites. For purposes of clarification and the avoidance of doubt, other than for a Default URL or an approved amendment to a Default URL, Boutique Partners may not use the terms “Style Dots,” or “Your Story is Our Story” or “Jewelry Dots” or “Story Dots” or any derivation thereof, in any External Website address or related URL. Any Personal Email Address (as defined herein) used in connection with the promotion or sales of Style Dots products, or in connection with a Boutique Partners Style Dots-related External Websites may not include the name “Style Dots” in it, in any form (e.g., tonsofStyleDots@gmail.com or StyleDotsofnewyork@yahoo.com).
Any External Website which contains “Style Dots” or “Your Story is Our Story” or “Jewelry Dots” or “Story Dots”” or any derivation thereof in the URL, must be transferred to Style Dots or closed/terminated upon demand by Style Dots. In no event may the Boutique Partner sell such domain name to any third party without the prior express written consent of Style Dots.
13.8.2 Personal Pages/Walls vs. Fan Pages
So long as Boutique Partners are abiding by the general guidelines set forth herein with respect to online behavior, including, without limitation, the creation, naming and use of Social Media dedicated websites, Boutique Partners are not prohibited from including Style Dots related posts on their personal Social Media websites (e.g., personal pages/walls on Facebook). However, Boutique Partners are encouraged to create a separate Style Dots related “Fan Page”, or any equivalent Social Media page, to provide a dedicated and separate landing spot for Style Dots related updates, party plan dates and times, approved Style Dots product images, etc., which will also allow potential customers to “like” or “follow” an Boutique Partner’s Style Dots related “Fan Page” without a Boutique Partners having to “accept” them as “friends” on your personal Facebook page/wall.
13.8.3 Boutique Partners are Responsible for Postings
Boutique Partners are personally responsible for their online postings and all other online activity that relates to Style Dots. Therefore, even if a Boutique Partner does not own or operate a blog or Social Media site, if a Boutique Partners posts to any such site that relates to Style Dots or which can be traced to Style Dots, the Boutique Partners is responsible for the posting and must act in a way that builds, strengthens and enhances Style Dots’ reputation, image and standing in the community. Boutique Partners are also responsible for postings, which occur on any blog/page that the Boutique Partner owns, operates, or controls.
13.8.4 Identification as a Boutique Partner
Boutique Partners must disclose their full names on all relevant Social Media profiles that relate to Style Dots and its products or business, and each must conspicuously identify themselves as an “Independent Style Dots Boutique Partner.” Anonymous postings or use of an alias is prohibited.
13.8.5 Social Media as a Sales and Promotion Forum
External Websites, specifically Social Media sites, are relationship-building sites. While building relationships is an important part of the sales process, external websites, including, without limitation, Boutique Partners shall not use any social media or external websites to make income claims. An income claim is a public disclosure of your compensation from Style Dots. An income claim is also using averages in public, for example, a Style Dots Boutique Partner makes $200 for every Boutique Social they do.
13.8.6 Deceptive Postings
Online postings that are false, misleading, or deceptive are prohibited. This includes, but is not limited to, false or deceptive postings relating to the Style Dots income opportunity or Style Dots’ products. An income claim is a public disclosure of your compensation from Style Dots. An income claim is also using averages in public, for example, a Style Dots Boutique Partner makes $200 for every Boutique Social they do.
13.8.7 The Official Style Dots Facebook Page
Style Dots has an official Company Facebook page. Boutique Partners may not place linking information on Style Dots’ company Facebook page, nor may they post any pricing, promotions, marketing material, sales, advertisements, or announcements relating to their businesses on Style Dots’ Company Facebook page. Style Dots reserves the right to remove any messages posted on the official Company Facebook page as determined in its sole discretion. Boutique Partners are not allowed to recruit or message people from Style Dots Company Facebook page. Boutique Partners may only use their personal Facebook profile to post on Style Dots Company Facebook page.
13.9 Trade Shows and Other Sales Forums
Boutique Partner’s may display and/or sell Style Dots products at a Tradeshow. A “Tradeshow” is an organized event of a relatively large number of vendors held at a specific location, which does not last more than fourteen (14) days over any consecutive sixty (60) day period, at which various products and/or services are displayed, sold or otherwise marketed to attendees. Tradeshows are available to Boutique Partners on a first-to-register basis and multiple Boutique Partners are not allowed at a single Tradeshow. Boutique Partners can only sell Style Dots in their event space. Booths cannot be divided, and non-Style Dots product cannot be sold in the same booth or table space.
Boutique Partners may display and/or take orders for Style Dots products inside a Showroom. A “Showroom” is a room for holding organized sales parties or sales events at limited, pre-designated times at which invitees to such parties or sales events (and not walk-in customers) may place orders for Style Dots products. The following activities are prohibited at a Showroom or surrounding premises: delivering (e.g., cash-and-carry) Style Dots product to a Customer; displaying Style Dots product in a manner that is visible from outside the Showroom; and displaying signage that indicates that Style Dots product is sold or otherwise promoted in the Showroom. Notwithstanding the foregoing, Boutique Partners may not sell Style Dots products at swap meets, or flea markets as these events are not conducive to the quality image Style Dots wishes to portray.
14.0 STYLE DOTS GLOSSARY OF TERMS
ACTIVE BOUTIQUE PARTNER: A Boutique Partner who satisfies the minimum volume requirements, as set forth in the Compensation Plan, to ensure that they are eligible to receive bonuses and commissions.
AGREEMENT: The contract between the Company and each Boutique Partner; includes the Boutique Partner Agreement, the Style Dots Policies and Procedures, and the Style Dots Compensation Plan, all in their current form and as amended by Style Dots in its sole discretion. These documents are collectively referred to as the “Agreement.”
CANCEL: The termination of a Boutique Partner’s business. Cancellation may be either voluntary, involuntary, or through non-renewal.
COMPENSATION PLAN: The guidelines and referenced literature for describing how Boutique Partners can generate commissions and bonuses.
CUSTOMER/CLIENT: An individual who purchases Style Dots products and does not engage in building a business or retailing product.
BOUTIQUE PARTNER: An individual, who purchases product, generates retail sales and business building commissions.
LINE OF MENTORSHIP (LOM): A report generated by Style Dots that provides critical data relating to the identities of Boutique Partners, sales information, and enrollment activity of each Boutique Partner’s organization. This report contains confidential and trade secret information which is proprietary to Style Dots.
ORGANIZATION: The Customers and Boutique Partners placed below a particular Boutique Partner.
OFFICIAL STYLE DOTS MATERIAL: Literature, audios or videos, and other materials developed, printed, published, and distributed by Style Dots to Boutique Partners.
PLACEMENT: Your position inside your Mentor’s organization.
RECRUIT: For purposes of Style Dots’s Conflict of Interest Policy, the term “Recruit” means the actual or attempted solicitation, enrollment, encouragement, or effort to influence in any other way, either directly, indirectly, or through a third party, another Style Dots Boutique Partner or Customer to enroll or participate in another multilevel marketing, network marketing, or direct sales opportunity.
RESALABLE: Products shall be deemed “resalable” if each of the following elements is satisfied: 1) they are unopened and unused, 2) original packaging and labelling has not been altered or damaged, 3) they are in a condition such that it is a commercially reasonable practice within the trade to sell the merchandise at full price, and 4) the product contains current Style Dots labelling. Any merchandise that is clearly identified at the time of sale as nonreturnable, discontinued, or as a seasonal item, shall not be resalable.
MENTOR: A Boutique Partner who enrolls a Customer, Retailer, or another Boutique Partner into the Company, and is listed as the Mentor on the Boutique Partner Agreement. The act of enrolling others and training them to become Boutique Partners is called “mentoring.”
UPLINE: This term refers to the Boutique Partner or Boutique Partners above a particular Boutique Partner in a mentorship line up to the Company. It is the line of mentors that links any particular Boutique Partner to the Company.
